Terms of Service.
The agreement that governs your use of VendorDrop — written to be read, not skimmed past.
1. Agreement
These Terms of Service ("Terms") govern your use of VendorDrop, operated by Rural Capital, LLC ("we," "us"). By creating an account or using the service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the service.
2. The service
VendorDrop lets an organization ("you," the "Organizer") request, collect, and review Certificates of Insurance (COIs) from its third-party vendors, including automated reminder emails and secure document viewing. Document review is manual — we do not verify, validate, or analyze the contents of uploaded documents, and you are responsible for reviewing them.
3. Accounts
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be at least 18 and authorized to act for your organization.
4. Your responsibilities regarding vendors and their data
When you add vendors and invite them to upload documents:
- You confirm you have a lawful basis and the right to contact those vendors at the email addresses you provide, and to collect their documents through VendorDrop.
- You are the controller of the vendor information you collect; VendorDrop processes it on your behalf. You are responsible for your own compliance obligations toward your vendors (including any required notices or consents).
- You will not use VendorDrop to collect documents you are not entitled to collect, and you will not upload or request W-9s, Social Security numbers, or other financial-identity documents (the service is built to refuse these, and they are out of scope).
5. Acceptable use
You agree not to: upload malware or unlawful content; attempt to access other organizations' data; probe, scrape, or overload the service; misuse the unauthenticated upload links; or use VendorDrop to send unsolicited or unlawful communications.
6. Vendors (non-account users)
Vendors upload documents through one-time links without creating accounts. Vendors agree that their uploaded document is shared with the inviting Organizer for the purpose of insurance verification. Vendors should direct questions about their data to the Organizer that invited them.
7. Your content
You retain ownership of the content and documents you and your vendors upload. You grant us a limited license to store, process, and display that content solely to provide the service. We preserve uploaded documents and review history as an audit record — documents are not deleted on rejection — and retain them as described in the Privacy Policy.
8. Fees
The service is currently provided free of charge during the pre-launch period. Paid plans will be introduced with advance notice, and you will not be charged unless you choose a paid plan.
9. Service availability
We aim for high availability but provide the service "as is" and "as available." We may modify, suspend, or discontinue features. No service-level agreement is offered at this stage.
10. Disclaimers
VendorDrop is a collection and workflow tool. We do not verify the authenticity, accuracy, adequacy, or validity of any Certificate of Insurance or other document. Reliance on any document collected through VendorDrop is at your own risk. To the maximum extent permitted by law, we disclaim all warranties, express or implied.
11. Limitation of liability
To the maximum extent permitted by law, Rural Capital, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your reliance on documents collected through the service. Our total liability for any claim arising out of or relating to the service will not exceed the greater of the amounts you paid us in the twelve months before the claim arose or $100.
12. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your use of the service, your content, or your handling of vendor data in violation of these Terms or applicable law.
13. Termination
You may stop using the service at any time. We may suspend or terminate access for violation of these Terms. On termination, your data is retained and then deleted according to the retention terms in the Privacy Policy. If you need to export your documents before closing your account, contact support@vendordrop.io.
14. Changes to these Terms
We may update these Terms; we'll post the new version and effective date and notify account holders by email of material changes. Continued use after changes means acceptance.
15. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Any dispute arising out of these Terms or the service will be brought exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction and venue.
